Overview
These Terms of Service (“Terms”) are an agreement between you and Edan Labs LLC (“Megaphone”, “we”, “us”). They apply when you visit megaphone.bio, open a private link from a curator, make a request, approve an option, pay, or otherwise use our websites, Wallet passes and messages (together, the “Service”).
Curators who sell through Megaphone also agree to the Curator Agreement. Effective date: October 29, 2026. Version 2026-10-29.1.
If you do not agree to these Terms, do not use the Service.
What Megaphone is
Megaphone is a concierge and invoicing platform. Independent curators use it to share what they offer, take requests, send options, collect approvals and get paid.
Megaphone is not a travel agency, a venue, a promoter, or a yacht or villa operator. We do not sell tables, events, stays, travel or any venue service, and we are not a party to your booking.
- The curator you book with sells to you, sets the price and the policies, and is the merchant of record.
- Venues, promoters, yacht and villa operators and other providers deliver the service itself.
- Megaphone provides the software, the secure payment flow, the passes and the messages.
Curators are independent businesses. They are not our employees or agents, and they do not speak for Megaphone.
Eligibility and accounts
You must be at least 18 to use the Service. Nightlife bookings, including tables, events, guest lists and Door Mode passes, require you to be 21 or older and to present valid ID at the door. The name on your ID must match the name on the door list.
We verify your phone number with a one-time code. Your private link is tied to that phone number, and your requests, options, passes and payment history live behind it. Keep your link and your phone secure. Anything done through your link or your verified phone is treated as done by you.
You can give an assistant access to view your plans and pay on your behalf. Assistants cannot send messages for you. You are responsible for what your assistant does, and you can remove their access at any time.
Give us accurate information. Do not impersonate anyone, create accounts for someone else without permission, or use the Service on behalf of a person who cannot lawfully use it.
Requests, options and approvals
You send a request to a curator. The curator replies with one or more options. Each option shows the price, what is included, the deposit if any, and the cancellation, no-show and refund policy that apply.
When you approve an option, you accept that option and the terms shown with it. We record the approval with a timestamp. Approval is a binding acceptance between you and the curator. Read the option before you approve it.
Options can expire or sell out. Prices and availability are set by the curator and the provider, and can change until you approve. An option is not confirmed until the curator confirms it and any required payment is complete.
Payments
You pay the curator. The curator is the merchant of record for your purchase. Payments run through a payment processor (Stripe by default), and funds go to the curator’s account with the processor. Megaphone does not hold your funds. Megaphone earns a platform fee from the curator, not from you. We do not add a surcharge to your card payment.
Depending on the curator and the booking, you may be able to pay in the following ways:
- Card or Apple Pay. Payments above $5,000 may require extra verification (3D Secure).
- Bank transfer (ACH) against an invoice. Include the unique reference on the invoice so the payment can be matched to your booking.
- Off-platform payments such as Zelle, wire or crypto. These happen directly between you and the curator. Megaphone only logs them and issues a receipt. We do not process, hold or guarantee them.
- USDC, where the curator offers it.
Card details are handled by the payment processor. Megaphone never stores your full card number.
Deposits are payments toward the total and are held or refunded according to the policy shown on the option. If you pay off-platform, any dispute about that payment is between you and the curator.
Splitting with friends
When the curator allows it, you can split a booking with friends. You pick the mode when you set it up.
- Hold & split. Each person authorizes their share on their card. Nothing is charged until the full amount is covered. Authorizations are held for about 7 days or until the deadline shown, whichever comes first.
- Everyone pays first. Each person pays their own share through their own link.
- I pay, friends pay me back. The host pays the full amount and collects from friends outside the booking. Megaphone does not collect the repayments.
In hold & split, if the deadline passes and the group has not covered the full amount, the host can cover the remainder or the booking may be released. Authorizations that are not used are released by the card issuer, which can take several business days. The host is responsible for the invitation and for any remainder they choose to cover.
Cancellations, no-shows and refunds
Each option shows the curator’s cancellation, no-show and refund policy. That policy applies to your booking. We recommend you read it before you approve.
- If you cancel, any refund depends on the policy you approved.
- If you do not show up, the no-show terms on the option apply.
- If the venue or provider cancels or cannot deliver, the curator will offer a refund, a credit or an alternative, as described on the option or as the curator and provider agree.
Refunds go back to your original payment method through the processor, usually within 5 to 10 business days. When a payment made through Megaphone is refunded, the fee Megaphone charged the curator is refunded too. Refunds for off-platform payments are handled between you and the curator.
If a charge is wrong, contact the curator first. If you cannot resolve it, contact support@megaphone.bio and we will help where we can. Please contact us before you file a chargeback, so we can fix it faster.
Guest lists and the door
Being on a guest list or having a pass is not a guarantee of entry. Venues and promoters decide who comes in, and they can refuse entry for capacity, dress code, behavior, safety or legal reasons.
- Bring valid government-issued photo ID. Nightlife requires 21 or older.
- The name on your ID must match the name on the door list.
- Arrive within the time window the curator gives you. Late arrival can lose a table.
- Venue rules and local law apply inside the venue.
Venues and curators may keep a check-in record of when you were admitted. We share with a venue only what its door list needs, such as your name and party size.
Passes and Wallet
Megaphone can issue a pass for your booking, including QR passes for Door Mode and Apple Wallet passes. Each pass is personal to the name on it. Do not sell, share or copy a pass. A pass can be voided if it is transferred in breach of the venue’s rules, if the booking is cancelled, or if we detect misuse.
You do not need to install an app. Your link works in your browser.
SMS Terms
We send texts and emails about your requests, options, payments, passes and bookings. These are part of the Service. If you also opt in, we and the curators you book with may send recurring marketing texts and emails. Marketing consent is never required to book.
Megaphone SMS program (operated by Edan Labs LLC): sign-in codes, booking updates and, only if you opt in, marketing messages such as new nights and Inner Circle drops. Message frequency varies. Message and data rates may apply. Reply STOP to cancel at any time, or HELP for help. Carriers are not liable for delayed or undelivered messages. Full SMS Terms: https://megaphone.bio/sms-terms. - Harass, threaten or discriminate against curators, venue staff, other guests or our team.
- Misuse passes, guest lists or Inner Circle access, including reselling them.

Intellectual property
Megaphone owns the Service, including the software, design, name and logo. We give you a limited, personal, non-transferable license to use it as intended. You may not copy, reverse engineer or resell it.
Curators and venues own their content and media. You keep the rights to what you send us. You give us permission to use it only to run the Service for you, such as passing a note to your curator. If you send us feedback, we may use it without owing you anything.
Disclaimers
The Service is provided “as is” and “as available”. To the extent the law allows, we disclaim all warranties, including merchantability, fitness for a particular purpose and non-infringement.
We do not control and are not responsible for the quality, safety, legality or delivery of any table, event, stay, yacht, travel or other service provided by curators, venues or operators. Descriptions, photos and availability come from them. Nothing here limits any right you have under the law that cannot be waived.
Limitation of liability
To the extent the law allows, Megaphone and its officers, employees and suppliers are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, data or goodwill, arising from your use of the Service.
Our total liability to you for any claim related to the Service is limited to the greater of the amount you paid to Megaphone in the 12 months before the claim (which is typically zero, because you pay the curator) and $100. Some places do not allow these limits, so they may not apply to you.
Megaphone is not liable for the acts or omissions of curators, venues, promoters or operators. Claims about a booking are claims against the curator or provider. [counsel to confirm]
Indemnity
You agree to defend and reimburse Megaphone for claims, losses and costs that come from your breach of these Terms, your misuse of a pass or the Service, or your violation of law or someone else’s rights. We will tell you about the claim and let you help respond to it. [counsel to confirm]
Disputes and arbitration
[counsel to confirm] Please contact us first at legal@megaphone.bio. Most concerns can be fixed informally within 30 days.
If we cannot resolve a dispute, you and Megaphone agree to resolve it through final and binding arbitration on an individual basis, administered by the American Arbitration Association under its consumer rules. You and Megaphone each waive the right to a jury trial and to bring or join a class action.
- Small claims. Either of us can bring an individual claim in small claims court instead.
- Injunctions. Either of us can go to court to stop misuse of intellectual property or the Service.
- Opt out. You can opt out of arbitration within 30 days of first accepting these Terms by emailing legal@megaphone.bio with the subject “Arbitration opt-out” and your name and phone number.
This section does not apply to disputes between you and a curator or venue. Those are between you and them.
Governing law
Florida law governs these Terms, without regard to conflict of laws rules. Subject to the arbitration section, the state and federal courts in Miami-Dade County, Florida have exclusive jurisdiction, and you agree to their jurisdiction.
Changes to these Terms
We may update these Terms. When the change is material, we will tell you in the Service or by email or text before it takes effect, and we will update the version and date. If you keep using the Service after the effective date, you accept the new Terms. If you do not, stop using the Service.
