Parties and acceptance
This Curator Agreement (“Agreement”) is between Edan Labs (“Megaphone”, “we”) and you, the curator (“you”), and the business you act for. By accepting it, you confirm you can bind that business.
Megaphone is invite-only. Curators who join in the first cohort are founding curators and receive the founding rate described in the fees section. Effective date: October 29, 2026. Version 2026-10-29.1.
The Agreement includes the Terms of Service, Privacy Policy, SMS Terms, Acceptable Use Policy and Data Processing terms. If they conflict, this Agreement controls for your use as a curator.
The service
Megaphone is the operating system for lifestyle curators. It includes your public page at megaphone.bio/{handle}, private client links, and Studio (studio.megaphone.bio) for requests, inventory, clients, guest lists, door check-in, broadcasts (Megaphone It) and money.
We provide the software, the payment flow, passes and messaging. We may improve, change or retire features. If we remove something material, we will give you reasonable notice.
Megaphone is a concierge and invoicing platform. It is not a travel agency, and it does not itself sell travel, tables, or venue services.
You are the merchant of record
You sell. Your clients buy from you, not from Megaphone. You are the merchant of record for every sale made through Megaphone, and Megaphone is not a party to your sales.
- You set your prices, inventory, deposits and your cancellation, no-show and refund policies.
- You are responsible for fulfilling what you sell, and for the acts of the venues, promoters and operators you work with.
- You are responsible for your taxes, permits and licenses, and for any registration your business needs to operate where you do.
- You are responsible for refunds, credits and chargebacks on your sales.
- You must describe options accurately and not overbook.
Payments run through a payment processor, Stripe Connect by default, with direct charges to your connected account. You must accept and keep to the processor’s account terms. Megaphone never holds client funds. If the processor limits or closes your account, we cannot override it.
Off-platform payments such as Zelle, wire or crypto happen between you and your client. Megaphone only logs them and issues a receipt. They are your risk. You must report them accurately.
Your clients are yours. Megaphone never contacts them.
Megaphone will not market to or solicit your clients for itself or for any other curator, and will not sell or share their data. Each curator’s client data is walled off from every other curator’s.
Megaphone sends messages to your clients only on your behalf, as part of the service. These are transactional messages about a client’s own requests, options, payments, passes and bookings, and marketing messages only to clients who opted in, sent for the curators they book with.
To share a client’s name, phone, email and social handle with you, we rely on the client’s consent. You may use that information to serve the client and for the marketing the client agreed to, and not for any other purpose.
Fees
The fees are simple. We are paid by you through the platform fee taken at payment, and by subscription. There is no setup fee.
- The platform fee is taken automatically as an application fee when a client pays through Megaphone. The processor’s payout shows it.
- The subscription is billed monthly to your payment method on file. If a payment fails, we may pause your account until it is fixed.
- The founding rate is locked for 12 months from your start date. After that, the standard rate applies. We will not raise the standard rate or the subscription without 30 days’ notice.
- Fees are in US dollars and exclude taxes. You are responsible for taxes on your sales, and on our fees where they apply.
You may not avoid fees by taking a booking that was priced or approved through Megaphone off-platform and misreporting it. See /acceptable-use.
Payouts
The payment processor pays out to your bank account on its payout schedule. Megaphone does not control timing. Payouts may be delayed or held by the processor for verification, risk review or disputes.
You must complete the processor’s onboarding and keep your information current. We can show payout status in Studio, but the processor’s records control.
Disputes and chargebacks
You are responsible for chargebacks and disputes on your sales, including the amount, any processor dispute fees, and the work of responding.
Megaphone helps. It assembles evidence automatically for each dispute: the client’s timestamped approval of the option with its terms, check-in records, messages, passes and receipts. Megaphone auto-submits that evidence to the processor 48 hours before the deadline, unless you change it or opt to submit it yourself first.
We do not guarantee the result of any dispute. The card network and the issuer decide.
Content and official media
You own what you put into Megaphone. You give Megaphone a worldwide, non-exclusive license to host, display, and process it to run the service and show your page, options and passes.
- Use official media only: images, flyers and descriptions that come from the venue, promoter or operator, or that you created or have the right to use.
- You attest that you have the rights to every upload and that it is accurate and not misleading.
- No AI-generated or altered imagery of venues, events or properties. Megaphone reads uploaded official flyers with AI only to extract event details. It never generates imagery.
- We may remove content that is inaccurate, infringing or against our Acceptable Use Policy.
Messaging program obligations
When you use Megaphone to text clients, you agree to the Messaging Program terms and to /sms-terms.
- Text only clients who opted in. Do not upload purchased, rented or scraped lists.
- Respect STOP and HELP right away. Do not try to message someone who has opted out.
- Respect quiet hours: marketing texts only between 8 AM and 9 PM in the recipient’s local time.
- Follow the frequency cap of up to 6 marketing texts a month per client.
- Do not send content that is deceptive, unlawful, or related to prohibited categories.
Megaphone enforces consent, quiet hours and STOP and HELP in the product and may block messages that break these rules. You are responsible for your content and for any claims that arise from your messages. Carriers or regulators may suspend messaging in response to complaints.
Data protection
You decide why and how your clients’ data is used. Megaphone processes it for you as your processor and service provider. Our Data Processing terms at /data-processing apply and are part of this Agreement.
You must have a lawful basis for the data you collect and use, get the consents required for marketing, honor opt-outs, and keep client data secure.
Acceptable use
You must follow the Acceptable Use Policy at /acceptable-use at all times, including for anything your team members do.
Team members
Owners can invite team members as bookers or viewers. Bookers can work requests, options and clients. Viewers can see but not change. Owners can also pay and manage billing.
- Team members must accept the team terms before they get access: they handle client data only for the curator they work with.
- The owner is responsible for the team’s acts and omissions as if they were the owner’s own.
- The owner must remove access promptly when someone leaves, and keep sign-ins personal and not shared.
- Team members are not Megaphone’s employees or contractors.
Suspension and termination
You can cancel at any time in Studio. Cancelling stops future subscription charges. Fees already earned on completed payments remain due.
Megaphone can suspend or end your access, or pause your page, quickly if we reasonably believe there is fraud, a processor or legal problem, a serious Acceptable Use breach, risk to clients, or non-payment. We also have kill switches to pause specific features such as payments or texting. We will tell you why when we can, and try to give you a chance to fix it unless the risk is urgent.
On termination, you can export your data for 30 days. After that, we delete or return client data as set out in the Data Processing terms, except where we must keep it by law. Sections that by their nature should survive, such as fees owed, liability, confidentiality and disputes, survive.
Confidentiality
Each of us will keep the other’s non-public business information confidential, use it only for this Agreement, and protect it with reasonable care. This does not cover information that is public, that you already knew, or that the law requires you to disclose. Client data is also covered by the Data Processing terms.
Intellectual property
Megaphone owns the service, including the software, design, name and logo. We give you a limited, non-exclusive, non-transferable right to use it during this Agreement. You own your content, brand and client relationships. If you give us feedback, we may use it freely.
Warranties and disclaimers
You promise that you have the authority to enter this Agreement, that the information you give us is accurate, that you hold the licenses and rights your business needs, and that you will follow the law.
Megaphone provides the service “as is” and “as available”. To the extent the law allows, we disclaim all other warranties, including merchantability, fitness for a particular purpose and uninterrupted or error-free operation. We do not guarantee any level of bookings or revenue.
Limitation of liability
To the extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or lost profits.
Megaphone’s total liability under this Agreement is capped at the fees you paid to Megaphone in the 12 months before the claim. These limits do not apply to your payment obligations, your indemnity, or liability that cannot be limited by law. [counsel to confirm]
Indemnity
You will defend and reimburse Megaphone and its team against third-party claims, losses and costs that arise from your sales and the services you or your providers deliver, your content, your messages, your breach of this Agreement or law, or your team’s acts. Megaphone will tell you about the claim promptly and let you control its defense, and will help at your expense. [counsel to confirm]
Independent contractors
We are independent businesses. Nothing here creates a partnership, joint venture, employment or agency relationship. You are not Megaphone’s agent, and you cannot bind Megaphone. Megaphone does not supervise your work.
Governing law and disputes
Florida law governs this Agreement, without regard to conflict of laws rules. Any dispute that we cannot settle informally within 30 days will be brought in the state or federal courts in Miami-Dade County, Florida, and each party agrees to their jurisdiction. [counsel to confirm: arbitration for curators]
Changes
We may update this Agreement. We will give you at least 30 days’ notice of a material change, by email or in Studio, and update the version and date. If you do not agree, you may cancel before the change takes effect. If you continue to use the service, you accept the change.
