Parties and acceptance
[counsel to confirm] This Venue Agreement (“Agreement”) is between Edan Labs LLC (“Megaphone”, “we”) and the venue named in your account (“Venue”, “you”). By accepting it, you confirm you can bind the Venue. Effective date: October 31, 2026. Version 2026-10-31.2.
Venue accounts are by invitation from Megaphone. This Agreement includes the Terms of Service, Privacy Policy, SMS Terms, Acceptable Use Policy and Data Processing terms, and in them “curator” includes you. If they conflict, this Agreement controls for your use as a Venue.
The service
[counsel to confirm] Megaphone gives you a public page at megaphone.bio/{handle}, private client links, and Studio (studio.megaphone.bio) for requests, inventory, clients, guest lists, door check-in, broadcasts and money.
We provide the software, the payment flow, passes and messaging. Megaphone is a concierge and invoicing platform. It does not itself sell tables, events or venue services.
You are the merchant of record
[counsel to confirm] You sell. Your clients buy from you, not from Megaphone. You are the merchant of record for every sale you make through your account, and Megaphone is not a party to your sales.
- You set your prices, inventory, deposits and your cancellation, no-show and refund policies.
- You are responsible for your taxes, permits and licenses, including liquor licensing and capacity limits.
- You are responsible for refunds, credits and chargebacks on your sales.
- You must describe options accurately and not overbook.
Payments run through a payment processor, Stripe Connect by default, with direct charges to your connected account. You must accept and keep to the processor’s account terms.
Your clients are yours. Curators’ clients are theirs.
[counsel to confirm] Megaphone will not market to or solicit your clients for itself or for anyone else, and will not sell or share their data.
Your client data is walled off from every other account on Megaphone. A curator who books at your venue keeps their own clients, requests, notes and payments in their own account. You cannot see them, and they cannot see yours, even when the same person is a client of both.
Nothing in this Agreement creates an allocation, promoter code, commission or revenue share between you and any curator.
Fees
[counsel to confirm] Your fees are set by the written quote agreed between you and Megaphone. No plan, trial or public fee schedule applies to you. If your quote changes, we will agree the change with you in writing first.
Your team and the door
[counsel to confirm] You choose who has access. Owners control everything. Managers send options, run events and take payments. Viewers can read requests but cannot see money. Door links open one guest list for one night.
You are responsible for your team’s use of the account, and for making sure door staff check identification as the law requires.
Client data and messaging
[counsel to confirm] You may use a client’s details to serve them and for the marketing they opted in to. You must follow the Acceptable Use Policy and Data Processing terms, text only clients who opted in, and honor STOP and quiet hours. Megaphone enforces consent on every message it sends for you.
Term and suspension
[counsel to confirm] Either party can end this Agreement with written notice. We may suspend your account if you breach this Agreement or the Acceptable Use Policy, or if your account puts clients, the processor or Megaphone at risk. You remain responsible for bookings already sold.
Warranties and liability
[counsel to confirm] The Service is provided as is. To the extent the law allows, neither party is liable for indirect or consequential loss, and Megaphone’s total liability is limited to the fees you paid in the twelve months before the claim.
Governing law and contact
[counsel to confirm] This Agreement is governed by the laws of the State of Florida. Questions go to legal@megaphone.bio.
